Team Building Calculation and Design Contract

This Team Building Calculation and Design Contract (“Contract”) is made and entered into between [Company Name], (“Client”) and [Team Building Firm Name], (“Firm”) on [Date].

1. Services Firm agrees to provide team building calculation and design services (“Services”) to Client for the purpose of improving team dynamics and productivity. The Services may include, but are not limited to, the following:

a. Analyzing the current team structure and dynamics. b. Developing a customized team building plan based on the analysis. c. Facilitating team building activities and exercises. d. Providing follow-up assessments and recommendations.

2. Payment Client agrees to pay Firm [Fee] for the Services. Payment will be made in [Installments/Full] upon completion of the Services. Payment shall be made by [Payment Method]. If Client cancels this Contract before the completion of the Services, Client shall pay Firm for all Services performed up to the date of cancellation.
3. Schedule Firm agrees to complete the Services by [Completion Date]. Client agrees to provide Firm with all necessary information and access to team members by [Due Date]. If Client fails to provide the necessary information and access by the Due Date, the Completion Date may be extended at the discretion of the Firm.

5. Confidentiality Firm agrees to keep all information provided by Client confidential and shall not disclose it to any third party without Client’s written consent.
6. Ownership Client retains all rights, title, and interest in and to the team building plan developed by Firm.
7. Termination Either party may terminate this Contract upon written notice to the other party if the other party breaches any material provision of this Contract. Upon termination, Firm shall return all materials provided by Client.
8. Indemnification Client agrees to indemnify and hold Firm harmless from any and all claims, damages, or expenses arising out of or in connection with the team building activities and exercises.
9. Governing Law This Contract shall be governed by and construed in accordance with the laws of the [State/Country] without regard to its conflict of law provisions.
10. Entire Agreement This Contract contains the entire agreement between the parties and supersedes all prior and contemporaneous negotiations and agreements, whether oral or written.
11. Amendment This Contract may not be amended except in writing signed by both parties.
12. Waiver No waiver of any provision of this Contract shall be deemed a waiver of any other provision or a continuing waiver of the same provision.
