BROKERAGE CONTRACT
This Brokerage Contract (the “Contract”) is entered into as of [Date], by and between [Brokerage Company Name], a company organized and existing under the laws of [State], with its principal place of business at [Address] (the “Brokerage Company”), and [Client Name], an individual residing at [Address] (the “Client”).
WHEREAS, the Client desires to engage the Brokerage Company to provide brokerage services for the sale/purchase/lease of [Property/Assets] (the “Property/Assets”);

- Services. The Brokerage Company shall use its best efforts to market and promote the Property/Assets to potential buyers/tenants, and to assist the Client in negotiating and closing a transaction for the sale/purchase/lease of the Property/Assets.
- Exclusivity. The Client agrees to engage the Brokerage Company exclusively for a period of [Duration] months from the date of this Contract, during which time the Client shall not engage any other broker or intermediary to provide brokerage services with respect to the Property/Assets. The Brokerage Company shall have the exclusive right to represent the Client in connection with the sale/purchase/lease of the Property/Assets during the exclusivity period.
- Compensation. In consideration for the brokerage services provided by the Brokerage Company, the Client shall pay the Brokerage Company a commission equal to [Percentage] % of the gross sale/purchase/lease price of the Property/Assets, payable upon the closing of the transaction. The commission shall be deemed earned when the sale/purchase/lease of the Property/Assets has been consummated, regardless of who procured the buyer/tenant.
- Expenses. The Client shall be responsible for all expenses related to the Property/Assets, including, but not limited to, marketing expenses, appraisal fees, survey fees, and legal fees.
- Confidentiality. The parties agree to maintain the confidentiality of all information disclosed to each other in connection with this Contract, and to use such information solely for the purpose of performing their respective obligations hereunder.
- Termination. This Contract may be terminated by either party upon [Notice Period] days’ prior written notice to the other party.
- Governing Law. This Contract shall be governed by and construed in accordance with the laws of [State].
- Entire Agreement. This Contract constitutes the entire agreement between the parties with respect to the subject matter hereof, and supersedes all prior negotiations, agreements, and understandings, whether oral or written.
