This Contract for Participation in the Construction of the Building (the “Contract”) is made and entered into on [Date] between [Client Name], located at [Address] (hereafter “Client”), and [Contractor Name], located at [Address] (hereafter “Contractor”).
[Section 1 – Scope of Work]
1.1. The Contractor agrees to provide services to the Client for the construction of a building (the “Building”) in accordance with the specifications set forth in Schedule A attached hereto.
1.2. The Contractor shall provide all necessary labor, materials, and equipment required for the construction of the Building.
[Section 2 – Timeframe]
2.1. The Contractor shall commence work on the construction of the Building within [Start Date] and shall complete the construction by [End Date].
[Section 3 – Payment]
3.1. The Client shall pay the Contractor the total sum of [Contract Amount] for the construction of the Building.
3.2. Payment shall be made in [Payment Schedule] installments, as follows:

3.3. The Client shall make payments to the Contractor within [Payment Terms] days of receipt of an invoice.
[Section 4 – Change Orders]
4.1. Any changes to the scope of work or specifications set forth in Schedule A must be approved in writing by both parties.
4.2. If any change orders are approved by both parties, the Contractor shall provide the Client with a revised cost estimate, and the Contract Amount and Payment Schedule may be adjusted accordingly.
[Section 5 – Warranties]
5.1. The Contractor warrants that all work performed under this Contract shall be performed in a professional and workmanlike manner.
5.2. The Contractor further warrants that all materials used in the construction of the Building shall be of good quality and free from defects.
[Section 6 – Insurance]
6.1. The Contractor shall maintain workers’ compensation insurance and general liability insurance throughout the term of this Contract.
6.2. The Contractor shall provide the Client with certificates of insurance evidencing such coverage prior to commencing work on the construction of the Building.
[Section 7 – Indemnification]
7.1. The Contractor shall indemnify and hold harmless the Client and its officers, directors, employees, and agents from and against any and all claims, damages, expenses, and liabilities arising out of or in connection with the Contractor’s performance under this Contract.
[Section 8 – Termination]
8.1. This Contract may be terminated by either party upon [Notice Period] days written notice to the other party.
8.2. This Contract may be terminated immediately by either party in the event of a material breach by the other party of any of its obligations under this Contract.
[Section 9 – Entire Agreement]
9.1. This Contract constitutes the entire agreement between the parties and supersedes all prior negotiations, understandings, and agreements between them, whether written or oral, relating to the subject matter hereof.
9.2. This Contract may not be amended or modified except in writing signed by both parties.

10.1. This Contract shall be governed by and construed in accordance with the laws of the state of [Governing Law State].
