5.2. The Supplier shall ensure that the Products are properly packaged and labeled for transport.

6.1. The Supplier warrants that all Products provided under this Contract shall be free from defects in material and workmanship.

6.2. The Supplier further warrants that all Products shall conform to any applicable laws and regulations governing their sale and distribution.

[Section 7 – Liability]

7.1. The Supplier shall indemnify and hold harmless the Buyer and its officers, directors, employees, and agents from and against any and all claims, damages, expenses, and liabilities arising out of or in connection with the Supplier’s performance under this Contract.

8.1. This Contract may be terminated by either party upon [Notice Period] days written notice to the other party.

8.2. This Contract may be terminated immediately by either party in the event of a material breach by the other party of any of its obligations under this Contract.

9.1. This Contract constitutes the entire agreement between the parties and supersedes all prior negotiations, understandings, and agreements between them, whether written or oral, relating to the subject matter hereof.

9.2. This Contract may not be amended or modified except in writing signed by both parties.
