Contract for Purchase of Educational Services

6.1. The Provider warrants that all Services provided under this Contract shall be performed in a professional and workmanlike manner.

6.2. The Provider further warrants that all Services shall conform to any applicable laws and regulations governing their provision.

[Section 7 – Liability]

7.1. The Provider shall indemnify and hold harmless the Client and its officers, directors, employees, and agents from and against any and all claims, damages, expenses, and liabilities arising out of or in connection with the Provider’s performance under this Contract.

8.1. This Contract may be terminated by either party upon [Notice Period] days written notice to the other party.

8.2. This Contract may be terminated immediately by either party in the event of a material breach by the other party of any of its obligations under this Contract.

9.1. This Contract constitutes the entire agreement between the parties and supersedes all prior negotiations, understandings, and agreements between them, whether written or oral, relating to the subject matter hereof.

9.2. This Contract may not be amended or modified except in writing signed by both parties.
