Contract for specialized services to evaluate research projects

This Contract for Specialized Services to Evaluate Research Projects (the “Contract”) is entered into on [date], by and between [Client Name], with its principal place of business at Client Address, and [Service Provider Name], with its principal place of business at [Service Provider Address] (“Service Provider”).

RECITALS

A. Client desires to engage Service Provider to provide specialized services to evaluate research projects.

B. Service Provider is willing to provide such services to Client.

AGREEMENT

In consideration of the mutual covenants and promises contained herein, the parties agree as follows:

Services. Service Provider shall provide Client with specialized services to evaluate research projects in the form of local needs of the province (the “Services”), as further described on Exhibit A attached hereto.

Fees. Client shall pay Service Provider the fees for the Services as set forth on Exhibit A attached hereto.

Payment Terms. Client shall pay Service Provider [percentage] of the total fees upon execution of this Contract. The remaining [percentage] of the total fees shall be paid upon completion of the Services.

Performance of Services. Service Provider shall perform the Services in a professional and workmanlike manner, using its best efforts, skill and judgment.

Client Cooperation. Client shall provide Service Provider with all necessary assistance and cooperation to enable Service Provider to perform the Services.

Confidentiality. Service Provider shall maintain the confidentiality of all information provided by Client in connection with the Services, and shall not disclose such information to any third party without the prior written consent of Client.

Ownership of Deliverables. Service Provider acknowledges that all deliverables, reports, data and other materials created by Service Provider in connection with the Services (“Deliverables”) shall be the sole and exclusive property of Client. Service Provider hereby assigns to Client all rights, title and interest in and to the Deliverables, and agrees to execute such documents as may be necessary to effectuate such assignment.

Term and Termination. This Contract shall commence on the date first above written and shall continue until completion of the Services. Either party may terminate this Contract upon written notice to the other party in the event of a material breach of this Contract by the other party.

Governing Law. This Contract shall be governed by and construed in accordance with the laws of [State/Province].

Entire Agreement. This Contract constitutes the entire agreement between the parties and supersedes all prior or contemporaneous agreements and understandings, whether written or oral, relating to the subject matter of this Contract.

Amendments. This Contract may be amended or modified only by a written instrument executed by both parties.

Counterparts. This Contract may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
