Temporary Computer Service Contract

This Temporary Computer Service Contract (“Agreement”) is made and entered into on [Date] by and between [Client Name], located at [Client Address] (“Client”) and [Service Provider Name], located at [Service Provider Address] (“Service Provider”).

Services Provided

Service Provider agrees to provide temporary computer services to the Client, including but not limited to hardware installation, software installation, network troubleshooting, and other computer-related services as may be requested by the Client during the term of this Agreement.

Term

This Agreement shall commence on [Start Date] and shall terminate on [End Date]. However, the Client may terminate this Agreement at any time upon written notice to the Service Provider.

Compensation

The Client shall pay the Service Provider the sum of [Amount] for the services provided under this Agreement. Payment shall be made within [Number] days of receipt of invoice.

Confidentiality

Service Provider acknowledges that it may have access to confidential and proprietary information of the Client, including but not limited to trade secrets, customer lists, and financial information. Service Provider agrees to maintain the confidentiality of such information and not to disclose it to any third party without the prior written consent of the Client.

Intellectual Property

Any intellectual property created or developed by Service Provider in connection with the services provided under this Agreement shall be the sole property of the Client.

Indemnification

Service Provider agrees to indemnify and hold harmless the Client from any and all claims, damages, and expenses arising out of or in connection with the services provided under this Agreement, including but not limited to claims of infringement of intellectual property rights.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of [State].

Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter of this Agreement.

Amendments

This Agreement may not be amended except in writing signed by both parties.
