This Contract to Build an Online Store (the “Agreement”) is made and entered into on [insert date] by and between [insert name of client] (“Client”) and [insert name of contractor] (“Contractor”).

WHEREAS, Client desires to build an online store to sell products and services; and

WHEREAS, Contractor is in the business of designing and developing online stores; and

WHEREAS, Contractor has the necessary expertise and experience to build the online store for Client.

NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. Scope of Work. Contractor agrees to design, develop, and deliver to Client a fully functional online store (the “Online Store”) in accordance with the specifications set forth in Schedule A attached hereto. Contractor shall complete the Online Store within [insert number] weeks from the date of this Agreement, subject to the terms and conditions of this Agreement.
2. Payment. Client agrees to pay Contractor the total amount of [insert amount] for the design, development, and delivery of the Online Store, in accordance with the payment schedule set forth in Schedule B attached hereto.

5. Intellectual Property. Client shall own all intellectual property rights in the Online Store, subject to Contractor’s rights in any pre-existing materials or intellectual property used by Contractor in the development of the Online Store.
6. Confidentiality. Contractor shall keep confidential any information provided by Client in connection with the development of the Online Store. Contractor shall not disclose such information to any third party without the prior written consent of Client.
7. Warranties. Contractor warrants that the Online Store shall be free from defects in materials and workmanship for a period of [insert number] days following delivery. Contractor also warrants that the Online Store shall be designed and developed in accordance with industry standards.
8. Termination. Either party may terminate this Agreement upon written notice to the other party, if the other party breaches any material provision of this Agreement and fails to cure such breach within [insert number] days after receiving written notice of such breach.
