آوریل 13, 2023ELECTRONIC LESSON PRODUCTION CONTRACT
This Electronic Lesson Production Contract (the “Contract”) is made and entered into as of [Date] (the “Effective Date”), by and between [Name of Client], with a mailing address of [Address] (the “Client”), and [Name of Contractor], with a mailing address of [Address] (the “Contractor”).
- Scope of Work. The Contractor agrees to provide the following services to the Client:
a. Develop an electronic lesson plan.
b. Create an electronic lesson from the developed plan.
c. Edit and finalize the electronic lesson.
- Payment. The Client agrees to pay the Contractor [Amount] for the services described in Section 1. Payment will be made as follows:
a. [Percentage] of the total amount due upon execution of this Contract.
b. [Percentage] of the total amount due upon the delivery of the completed electronic lesson.
c. [Percentage] of the total amount due upon the completion of any revisions requested by the Client.
- Time for Completion. The Contractor agrees to deliver the completed electronic lesson to the Client no later than [Date]. The Contractor will use its best efforts to complete the work by the deadline, but time is not of the essence.
- Intellectual Property. The Client retains all rights to the intellectual property developed under this Contract. The Contractor agrees not to use or disclose the intellectual property developed under this Contract to any third party without the express written consent of the Client.
- Representations and Warranties. The Contractor represents and warrants that:
a. It has the necessary expertise to complete the work described in Section 1.
b. The work will be original and not infringe upon any third-party intellectual property rights.
- Confidentiality. The Contractor agrees to keep confidential all information obtained from the Client during the course of this Contract, and not to disclose such information to any third party without the express written consent of the Client.
- Indemnification. The Contractor agrees to indemnify, defend, and hold harmless the Client and its officers, directors, employees, and agents from any and all claims, damages, liabilities, costs, and expenses, including reasonable attorney’s fees, arising out of or in connection with the Contractor’s performance under this Contract.
- Governing Law. This Contract shall be governed by and construed in accordance with the laws of the [State/Province/Country] without regard to conflicts of law principles.
- Entire Agreement. This Contract represents the entire understanding of the parties and supersedes all prior negotiations and understandings. This Contract may not be amended except in writing signed by both parties.
