آوریل 13, 2023EXCAVATION CONTRACT
This Excavation Contract (the “Contract”) is made and entered into as of [Date], by and between [Name of Client], with a mailing address of [Address] (the “Client”), and [Name of Contractor], with a mailing address of [Address] (the “Contractor”).
- Scope of Work. The Contractor agrees to provide excavation services to the Client in accordance with the specifications set forth in Exhibit A attached hereto (the “Scope of Work”). The Contractor shall complete the excavation work in a timely and professional manner, using reasonable care and skill.
- Payment. The Client shall pay the Contractor for the excavation work in accordance with the payment schedule set forth in Exhibit B attached hereto. The Client shall make payments to the Contractor upon completion of each milestone set forth in Exhibit B.
- Change Orders. The Client may request changes to the Scope of Work at any time by submitting a written change order to the Contractor. The Contractor shall provide a written estimate of the additional costs and time required to complete the change order. The Client shall have the right to accept or reject the estimate.
- Site Conditions. The Client represents and warrants that the site where the excavation work is to be performed is free from hazardous materials and any other conditions that may pose a danger to the Contractor or its employees. The Contractor shall have the right to stop work immediately if it discovers any hazardous materials or other conditions that may pose a danger to the Contractor or its employees.
- Insurance. The Contractor shall maintain comprehensive general liability insurance, automobile liability insurance, and workers’ compensation insurance with limits of liability and coverage satisfactory to the Client. The Contractor shall provide the Client with certificates of insurance upon request.
- Indemnification. The Contractor shall indemnify and hold harmless the Client from any claims, damages, or expenses arising out of or resulting from the Contractor’s performance of the excavation work, except to the extent such claims, damages, or expenses arise out of or result from the Client’s negligence or willful misconduct.
- Termination. Either party may terminate this Contract upon [Notice Period] days’ written notice to the other party. In the event of termination, the Client shall pay the Contractor for all work performed prior to the effective date of termination.
- Governing Law. This Contract shall be governed by and construed in accordance with the laws of the [State/Province/Country] without regard to conflicts of law principles.
- Entire Agreement. This Contract represents the entire understanding of the parties and supersedes all prior negotiations and understandings. This Contract may not be amended except in writing signed by both parties.
