Student abroad program agreement

STUDENT ABROAD PROGRAM AGREEMENT

This Agreement (the “Agreement”) is entered into on [date], by and between [Sender Name], with its principal place of business at Sender Address, and [Recipient Name], with its principal place of business at Recipient Address.

RECITALS

A. Sender is a provider of student study abroad programs.

B. Recipient desires to participate in Sender’s study abroad program for its students.

C. Sender desires to provide its study abroad program to Recipient.

AGREEMENT

In consideration of the mutual covenants and promises contained herein, the parties agree as follows:

Study Abroad Program. Sender shall provide its study abroad program (the “Program”) to Recipient for the purpose of sending Recipient’s students abroad to study.

Program Fees. Recipient shall pay Sender the fees for the Program as set forth on Exhibit A attached hereto.

Payment Terms. Recipient shall pay Sender [percentage] of the total Program fees within [number] days of the execution of this Agreement. The remaining [percentage] of the total Program fees shall be paid within [number] days prior to the start of the Program.

Program Dates. The Program shall commence on [start date] and end on [end date].

Program Requirements. Recipient shall provide Sender with a list of students who will participate in the Program at least [number] days prior to the start of the Program. Recipient shall also ensure that all participating students meet the eligibility requirements for the Program.

Program Changes. Sender may modify the Program schedule or location upon prior written notice to Recipient. If such modification results in a material change to the Program, Recipient may terminate this Agreement upon written notice to Sender.

Liability. Sender shall not be liable for any damages or losses arising out of or in connection with the Program, except for damages or losses arising out of its willful misconduct or gross negligence.

Insurance. Recipient shall ensure that all participating students are covered by appropriate insurance for the duration of the Program.

Termination. Either party may terminate this Agreement upon written notice to the other party in the event of a material breach of this Agreement by the other party.

Governing Law. This Agreement shall be governed by and construed in accordance with the laws of [State/Province].

Entire Agreement. This Agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous agreements and understandings, whether written or oral, relating to the subject matter of this Agreement.

Amendments. This Agreement may be amended or modified only by a written instrument executed by both parties.

Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
